1. Definitions

“Service” means ReportDSL, including its SAR Service and any associated software, APIs, dashboards, or features.
“Subscriber” means the person or entity who registers or uses the Service.
“Subscription” means recurring paid access under a plan (monthly, annual, etc.).
“Trial Period” means a free or discounted period (if offered).
“Paddle” means our payment and subscription management provider and Merchant of Record.
“Charge” means the payment due under your Subscription.
“Refund” means a return of payment subject to these Terms.

2. Acceptance & Changes to Terms

By subscribing or using the Service, you agree to these Terms. We may amend them from time to time and will provide notice before material changes take effect. Continued use or renewal constitutes acceptance of the modified Terms.

3. Eligibility & Registration

You must be at least 18 years old and capable of entering into contracts. You agree to provide accurate registration details and keep them up to date.

4. Subscription Plans & Payment

4.1 Plans

Plans (monthly, annual, etc.) are displayed on our site or Paddle checkout. Your plan determines features and access rights.

4.2 Billing & Payment

Payments are processed by Paddle, who acts as the Merchant of Record for all purchases. By subscribing, you authorize recurring charges until cancellation. Paddle handles invoicing, tax collection, and customer support for payment-related matters. Failed payments may suspend access or lead to termination.

4.3 Start & Renewal

Subscriptions start on purchase (or after any Trial). They renew automatically unless cancelled in advance. Paddle may send renewal reminders where required by law. Renewal pricing changes will be notified in advance.

4.4 Trials

Trials provide temporary free or discounted access. If not cancelled before expiry, the Subscription converts to a paid plan. Trials may not be combined with other discounts unless stated.

4.5 Plan Changes

You may change your plan through the Paddle customer portal. Upgrades take effect immediately and may incur a prorated charge. Downgrades take effect at the next billing cycle.

5. Cancellation & Termination

5.1 Cancellation by You

You may cancel anytime via Paddle or platform settings. Cancellation takes effect at the end of the billing period. No prorated refunds unless otherwise required by law.

5.2 Termination by Us

We may suspend or terminate for breach, nonpayment, or legal reasons. On termination, rights to access end and data may be deleted.

5.3 Refunds

Refunds are handled via Paddle and are subject to Paddle’s refund policy. ReportDSL does not process refunds directly. Eligibility and timing of any refund depend on Paddle’s evaluation under their terms.

6. Use of Service & Restrictions

You agree to lawful use of the Service. Misuse (e.g. scraping, reverse engineering, interfering with others) is prohibited. You are responsible for safeguarding credentials.

7. Intellectual Property

All rights, title, and interest in the Service are owned by Henata Technologies Ltd or its licensors. You receive a limited, non-exclusive, non-transferable license to use it. Reproduction, modification, or redistribution without consent is prohibited.

8. Data, Privacy & Security

Personal data is handled under our Privacy Policy. You retain ownership of your data. We may use aggregated, anonymized data for analytics. On termination, your data may be deleted after a retention period.

9. Disclaimers & Limitation of Liability

The Service is provided “as is.” We disclaim all warranties to the extent permitted by law. Our liability is capped at the total fees paid in the previous 12 months. We are not liable for indirect or consequential damages, including lost profits or data.

10. Indemnification

You agree to indemnify and hold us harmless from claims, losses, damages, liabilities, or expenses arising from your breach or misuse of the Service.

11. Paddle / Payment Processor Terms

Purchases are subject to Paddle’s terms and policies. Paddle processes billing, refunds, and chargebacks. We may adjust payment options at any time.

11.1 Relationship with Paddle

Paddle acts as the Merchant of Record for all transactions. Your billing contract is with Paddle, while your Service agreement and license are with Henata Technologies Ltd.

12. Taxes

Paddle is responsible for collecting and remitting applicable taxes (including VAT, GST, or sales tax) as required by law. The total amount you pay may include such taxes, displayed clearly during checkout.

12.1 Third-Party Services

Our Service may integrate with third-party providers (such as Paddle for payments or Mailgun for email delivery). Their use is governed by their own terms and privacy policies. We are not responsible for third-party actions or service availability.

13. Changes to Service, Suspension & Maintenance

We may modify, suspend, or discontinue features at any time. We aim to provide notice for major changes. We are not liable for business impact due to modifications.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England, subject to applicable consumer rights. Nothing in these Terms limits any mandatory consumer protection rights you may have under applicable law.

15. Miscellaneous

If any provision is invalid, the rest remain enforceable. No waiver of breach is a waiver of subsequent breaches. These Terms, along with our Privacy Policy and order forms, form the entire agreement. You may not assign rights without our consent.
